This User-Generated Content Agreement (the "Agreement") is entered into by and between Jackal Clothing LLC and any individual (the "Content Creator") who completes the User-Generated Content Form (the "Form") provided by the Company.

Purpose

By completing the User-Generated Content Form, the Content Creator agrees to create and share user-generated content (UGC) in exchange for a 50% off discount code on Jackal Clothing's store.

Content Requirements

The Content Creator agrees to create and share the following types of content:

• Photos and/or videos showcasing the product(s) purchased from the Company.
• Content must be posted on at least one of the following platforms: Instagram, TikTok, YouTube, Twitter.
• Content should include tags and mentions of the Company's official social media accounts.

The Content Creator must adhere to the following guidelines:

• Content must be original and created by the Content Creator.
• Content must be posted no later than 30 days after receiving the order the discount code was used for. 
• Content should (but is not required to) reflect the brand’s ethos and aesthetic.
• Content must not include any sexually-suggestive or violent themes in any capacity. 

Discount Code

Upon completing the Form, the Content Creator will receive a 50% off discount code to use on the Company’s store.

The discount code is valid for a one-time purchase and cannot be combined with other promotions or discounts.

Rights and Usage

By creating and sharing the content, the Content Creator grants the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the content for marketing and promotional purposes, including but not limited to the Company’s website, social media accounts, email marketing, and advertisements.

The Content Creator retains ownership of the content but agrees not to use the content in a way that conflicts with the interests of the Company.

Confidentiality

The Content Creator agrees to keep the discount code confidential and not to share it with others.

Indemnification

The Content Creator agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Content Creator’s content or actions.

Term and Termination

This Agreement is effective as of the date the Content Creator completes the Form and will continue until the content is created and shared as agreed.

The Company reserves the right to terminate this Agreement and revoke the discount code if the Content Creator fails to comply with the terms of this Agreement.

If the Content Creator fails to comply with the terms of this Agreement, including but not limited to failure to create and share the agreed-upon content within the deadline period, the Company reserves the right to invoice the Content Creator for the remaining 50% of the order's original price.

The Content Creator agrees to pay the invoice within 30 days of receipt.

Exceptions

Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, lockouts, labor disputes, civil commotion, fire, flood, earthquake, adverse weather conditions, governmental regulations, or any other cause beyond the reasonable control of the party affected (a "Force Majeure Event").

The party affected by a Force Majeure Event shall promptly notify the other party in writing of the occurrence of such event and the effect on its ability to perform its obligations under this Agreement. The obligations of the affected party shall be suspended during the period of the Force Majeure Event.

At the Company's discretion, a content creator that prefers to not post the user-generated content (UGC) directly onto their social media account may share the content directly to the Company for it to be posted on the Company's social media channels. 

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

Any amendments or modifications to this Agreement must be in writing and signed by both parties.

IN WITNESS WHEREOF, by completing the User-Generated Content (UGC) Form, the Content Creator acknowledges and agrees to the terms and conditions set forth in this Agreement.
